Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and WPadmin.AI ("we", "us", "our") governing your access to and use of the WPadmin.AI plugin, website, and all associated services (collectively, the "Service"). Your use of the Service signifies your acceptance of these Terms in full.

We reserve the right to modify these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

WPadmin.AI provides an AI-powered assistant embedded in the WordPress admin dashboard, available in two tiers:

• Free Plugin (V1): Ask up to 30 questions per month about your WordPress site. Answers are generated using AI and tailored to your site's configuration.
• Premium (V2): All Free features plus WPadmin.AI V2 — a separate plugin that performs technical tasks directly on your WordPress site after manual setup by the WPadmin.AI team. Allows up to 150 questions per month.

The Service relies on OpenAI's API and Codex as its underlying AI engine. Your use of the Service is therefore also subject to OpenAI's usage policies and, for V2 technical capabilities, the OpenAI Codex terms.

3. Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the organisation you represent. By using the Service, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Account and Subscription

4.1 Registration

Access to Premium features requires a valid subscription. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4.2 Billing

• Premium is billed at $10 for the first month, then $30/month thereafter
• All fees are non-refundable except where required by applicable law
• We reserve the right to change pricing with reasonable notice
• Failed payments may result in immediate suspension of Premium features

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused time within a billing period.

5. WPadmin.AI V2 — Server Access and Technical Tasks

5.1 Authorisation

By inviting integrations@wpadmin.ai to your hosting account and proceeding with V2 setup, you expressly authorise the WPadmin.AI team and WPadmin.AI V2 to access your hosting environment, WordPress file system, and WordPress database for the purposes of setup and performing requested tasks.

5.2 Your Responsibilities

• You must ensure you have the legal right and authority to grant access to the hosting environment
• You must maintain current, restorable backups of your website before initiating any V2 task
• You are responsible for reviewing and approving V2's proposed plans before execution
• You are responsible for testing your site after any task is completed
• You acknowledge that running code on a live production site carries inherent risk

5.3 No Guarantee of Outcome

WPadmin.AI V2 is an AI-powered service. While it takes reasonable steps to verify its actions, we do not guarantee that any task will produce the exact desired outcome, be free from errors, or be compatible with all hosting environments, plugins, or themes. You accept all risk associated with AI-generated changes to your website.

6. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate, distribute, or store malicious code, malware, or harmful content
• Attempt to reverse-engineer, decompile, or extract the source code of WPadmin.AI
• Use the Service to attack, compromise, or gain unauthorised access to any system
• Circumvent usage limits or access controls
• Resell, sublicense, or redistribute the Service without written permission
• Submit prompts containing sensitive personal data of third parties without their consent
• Use the Service in a manner that violates OpenAI's usage policies

We reserve the right to suspend or terminate your access immediately and without notice for any violation of this section.

7. AI-Generated Content — Important Disclaimer

• Responses are generated automatically and may contain errors, omissions, or outdated information
• Nothing in the Service constitutes professional legal, financial, security, or technical advice
• We are not responsible for any decisions made based on AI-generated responses
• You are solely responsible for reviewing, testing, and approving any AI-generated changes to your website
• The AI may occasionally produce unexpected, incorrect, or undesirable output — this is an inherent limitation of AI technology

8. Intellectual Property

WPadmin.AI, including its code, design, branding, and content, is the intellectual property of WPadmin.AI and its licensors. The plugin is licensed to you for use, not sold. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

You retain full ownership of your WordPress site, its content, and any custom code that existed prior to using WPadmin.AI. Code generated by WPadmin.AI V2 and installed on your site becomes yours upon installation, subject to any applicable OpenAI licensing terms.

9. Third-Party Services

The Service integrates with third-party services including OpenAI. We are not responsible for the availability, accuracy, content, or practices of third-party services. Your use of third-party services is governed by their own terms and policies:

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED, ERROR-FREE OPERATION.

We do not warrant that:

• The Service will meet your specific requirements
• AI-generated responses or actions will be accurate, complete, or reliable
• The Service will be available at all times or free from bugs or vulnerabilities
• Any errors in the Service will be corrected
• The Service will be compatible with all hosting environments, WordPress versions, plugins, or themes

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WPADMIN.AI AND ITS TEAM, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business, or goodwill
• Damage to your website, database, or hosting environment resulting from use of the Service or WPadmin.AI V2
• Costs of recovering data or restoring your website
• Any damages arising from AI-generated content, responses, or actions
• Any damages resulting from unauthorised access to your account or hosting environment
• Any third-party claims arising from your use of the Service

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless WPadmin.AI and its team, officers, employees, agents, and licensors from and against any claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any damage caused to your website or hosting environment as a result of V2 tasks you approved.

13. Service Availability and Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. We may impose limits on certain features or restrict access to parts of the Service without notice.

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Sections 7, 10, 11, 12, and 15 survive termination.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction, as applicable.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and WPadmin.AI with respect to the Service and supersede all prior agreements, understandings, and representations.
